A CRITICAL APPRAISAL OF ELECTRONIC MEETINGS AND DIGITAL FILING UNDER THE COMPANIES AND ALLIED MATTERS ACT 2020
Abstract
The Companies and Allied Matters Act (CAMA) 2020 introduced transformative reforms in Nigeria’s corporate regulatory landscape. Among these are provisions facilitating electronic meetings (e-meetings) and digital filing of company documents, aimed at improving corporate governance, efficiency, and transparency. The enactment of the Companies and Allied Matters Act 2020 (CAMA 2020) marked a significant turning point in Nigerian company law by introducing innovative provisions that recognize electronic meetings and digital filing. This paper critically appraises the legal framework governing virtual general meetings, electronic voting, and online filing of corporate documents with the Corporate Affairs Commission (CAC). It examines the extent to which these reforms promote corporate efficiency, transparency, and ease of doing business in Nigeria, while also interrogating the practical and legal challenges arising from their implementation. The aim of this paper is to analyzes the statutory recognition of remote participation in meetings, electronic notices, proxy appointments, and digital record-keeping, highlighting their alignment with global best practices in corporate governance. It further evaluates the digitalization of company registration, returns, and other statutory filings through the CAC’s electronic platform, assessing its impact on regulatory compliance and administrative convenience. Notwithstanding these advancements, the paper identifies persisting challenges such as technological infrastructure deficits, cybersecurity risks, digital illiteracy, evidentiary concerns, and questions relating to quorum, authenticity, and data protection. It argues that while CAMA 2020 represents a progressive shift toward modernization, effective implementation requires stronger regulatory guidelines, improved digital infrastructure, and enhanced stakeholder capacity. The paper concludes that electronic meetings and digital filing under CAMA 2020 have significantly transformed corporate practice in Nigeria, but sustained reforms and institutional support are essential to fully realize their intended benefits within the evolving digital corporate landscape.
